On 19 December 2024, the Exchange published the conclusions on the captioned consultation. The Exchange advised that all proposals to be implemented are to enhance the Corporate Governance Code and related Listing Rules.
The Institute made a submission to the Exchange on 16 August 2024, generally supporting the overarching objectives to improve board effectiveness and independence, enhance training for directors of Hong Kong listed companies, and also strengthen corporate diversity, transparency and disclosure. The submission supported most of the specific proposals, with some exception and qualifications.
The new requirements will come into effect on 1 July 2025, with transitional arrangements for the caps on “overboarding” and INED tenure. The Exchange will publish updated guidance in the first half of 2025 to assist issuers’ compliance with the new requirements. Please refer to the press release for details.
